1. Agreement to Terms
These Terms and Conditions ("Terms") govern your access to and use of the website located at accufinancialrecords.com (the "Site") and any bookkeeping, accounting, controller, fractional CFO, payroll support, tax preparation support, QuickBooks/software support, or business consulting services (collectively, the "Services") provided by Accurate Financial Records LLC, a Nevada limited liability company ("Company," "we," "us," or "our").
By accessing the Site, submitting an inquiry, or engaging us for Services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree, do not use the Site or Services.
2. Description of Services
We provide business-to-business financial services, including but not limited to:
- Bookkeeping services (ledger reconciliation, expense categorization, basic income statements)
- Accounting and financial reporting (monthly close, P&L and balance sheet compilation, cash flow tracking)
- Controller services (internal control design, oversight, cash management)
- Fractional CFO services (strategic advisory, financial modeling, board preparation, fundraising support)
- QuickBooks and software support (integration and troubleshooting across platforms such as QuickBooks, Stripe, Bill.com, Gusto, Xero, and SAP)
- Payroll support services
- Tax preparation support
- Business consulting services
The specific scope, deliverables, and fees for Services will be set out in a separate engagement agreement, statement of work, or order form ("Engagement"), which is incorporated into and forms part of these Terms. In the event of a conflict between these Terms and an Engagement, the Engagement controls with respect to that specific matter.
3. Eligibility
Our Services are intended for business entities and their authorized representatives. By engaging our Services, you represent that you are at least 18 years old and have the authority to bind the business or entity on whose behalf you are contracting.
4. Engagement Term, Fees, and Cancellation
- Initial period: Engagements generally run on a month-to-month basis following an initial 90-day period, which allows time to stabilize a new set of books.
- Cancellation: After the initial 90-day period, either party may cancel the engagement at any time with 30 days' written notice.
- Fees: Fees are billed according to the pricing tier or custom proposal agreed to at the start of the Engagement (e.g., Bookkeeping, Accounting & Reporting, Controller Services, or custom Fractional CFO / project-based advisory pricing). Fees are due as invoiced, and late payments may result in suspension of Services.
- Same-Day SLA: Where offered, our service-level response commitment (e.g., guaranteed response time referenced on the Site) applies to routine email and messaging inquiries during business days and does not guarantee resolution time for complex matters.
- Changes in scope: Additional work outside the agreed scope of an Engagement (e.g., historical cleanup, audit support, expanded reporting) may be billed separately upon mutual agreement.
5. Client Responsibilities
You agree to:
- Provide accurate, complete, and timely access to financial records, bank/software credentials (via secure, authorized means), and other information reasonably requested to perform the Services;
- Promptly review deliverables (reports, filings, reconciliations) and notify us of any discrepancies;
- Maintain appropriate business licenses, insurance, and legal compliance independent of our Services;
- Make final business, tax, and financial decisions; our Services are advisory and supportive in nature and do not replace your independent judgment or that of your legal/tax counsel where required.
6. No Professional Certification Representation; Scope of Advice
Our Services are performed in conformance with generally accepted professional bookkeeping, accounting, and financial management practices, including alignment with GAAP principles where applicable. However:
- We do not provide legal advice, investment advice, or formal audit/attestation (CPA opinion) services unless explicitly stated in an Engagement.
- Tax preparation support is provided to assist with organization and readiness; final review, signature, and filing responsibility for tax returns rests with the client and/or the client's designated licensed tax preparer or CPA of record, unless otherwise specified in an Engagement.
- You should consult a licensed attorney, CPA, or financial advisor for legal, audit, or investment decisions.
7. Third-Party Software and Integrations
Our Services may involve integration with third-party platforms (e.g., QuickBooks, Stripe, Bill.com, Gusto, Xero, SAP). We are not responsible for the availability, security, functionality, or pricing of third-party platforms, which are governed by their own terms of service. You are responsible for maintaining valid, licensed accounts with any third-party software required for the Services.
8. Confidentiality
Each party agrees to keep confidential any non-public business, financial, or technical information disclosed by the other party in connection with the Services, and to use such information solely for purposes of the Engagement. This obligation survives termination of the Engagement, except where disclosure is required by law.
9. Data Security and Privacy
Our handling of your personal and financial information is governed by our Privacy Policy, which is incorporated into these Terms by reference. We implement safeguards designed to protect client financial data consistent with professional standards, but no system is completely secure, and we cannot guarantee absolute protection against unauthorized access.
10. Intellectual Property
All content on the Site, including text, graphics, logos, and design elements, is the property of Accurate Financial Records LLC or its licensors and is protected by applicable intellectual property laws. Templates, models, or proprietary methodologies used in delivering Services remain our intellectual property unless otherwise agreed in an Engagement; deliverables specific to your financial records (e.g., your reconciled books, custom reports) belong to you upon full payment.
11. Disclaimers
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR WILL PREVENT ALL FINANCIAL, TAX, OR AUDIT RISK. OUTCOMES SUCH AS FUNDRAISING SUCCESS, LOAN APPROVAL, OR AUDIT RESULTS DEPEND ON FACTORS BEYOND OUR CONTROL AND ARE NOT GUARANTEED.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ACCURATE FINANCIAL RECORDS LLC AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless Accurate Financial Records LLC, its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your breach of these Terms; (b) inaccurate or incomplete information you provide; or (c) your violation of applicable law.
14. Termination
We reserve the right to suspend or terminate Services immediately in cases of non-payment, provision of fraudulent or materially inaccurate information, or conduct that we reasonably believe is unlawful or harmful to our business. Upon termination, you remain responsible for fees incurred prior to termination, and we will reasonably cooperate on transition of records consistent with the terms of the applicable Engagement.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state or federal courts located in Clark County, Nevada, unless otherwise agreed in an Engagement (e.g., via an arbitration clause).
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with a revised "Last Updated" date. Continued use of the Site or Services after changes are posted constitutes acceptance of the updated Terms.

These Terms and Conditions are provided as a general template based on common industry and legal standards and are not a substitute for advice from a licensed attorney. Because these Terms include liability limitations, indemnification, and governing law provisions specific to a financial services business, we strongly recommend having them reviewed by a Nevada-licensed attorney before publishing, particularly to confirm enforceability of the liability caps and alignment with any professional licensing requirements applicable to your services.
